Master Terms of Service
01Acceptance of Terms & Enterprise Scope
By accessing, subscribing to, or utilizing the software platforms, APIs, applications, or consulting services provided by Resvanta Technologies Inc. (collectively, the "Platform" or "Services"), you ("Customer", "Client", or "User") agree to be bound by these Master Terms of Service ("Terms").
If you are entering into these Terms on behalf of an enterprise, corporation, agency, or other legal entity, you represent and warrant that you possess the full legal authority to bind that entity. If you do not possess such authority or do not agree to these Terms, you must not access or utilize the Services.
02Platform Architecture & Service Descriptions
Resvanta operates a unified, sovereign enterprise software ecosystem comprising three canonical platforms:
Autonomous empirical research operating system featuring instant brief-to-survey ingestion (AISP), visual logic scripting, multi-vendor sample orchestration (Maestro), passive biometric anti-fraud gating (Resvanta AirLock™), and automated analytical delivery packages.
Causal econometric intelligence platform powered by the RAIL engine, executing deterministic causal proofs, Rosenbaum sensitivity bounds (Γ*), conjoint pricing simulations, and automated 16:9 boardroom slide deck generation.
Enterprise AI governance and cryptographic audit gateway, providing real-time LLM prompt firewalls, PII masking, policy enforcement, and SHA-256 Merkle audit dossiers.
03Account Governance & Security
- Enterprise Administration: Customers access the Platform via authenticated accounts protected by role-based access control (RBAC). The Customer is solely responsible for maintaining credential confidentiality.
- Authorized Users: Workspaces are restricted to Authorized Users designated by the Customer. Sharing credentials across employees or external third parties is strictly prohibited.
- Security Notifications: The Customer agrees to notify Resvanta immediately at [email protected] upon discovering any unauthorized access, compromised API tokens, or credential breaches.
04Intellectual Property Rights & Data Ownership
4.1 Unconditional Customer Data Ownership
The Customer retains 100% exclusive, unconditional ownership of all proprietary data, files, and intellectual property uploaded to or generated by the Platform:
- All survey questionnaires, brand trackers, and screening logic scripted or compiled via AISP.
- All raw respondent survey datasets, cross-tabulations, statistical models, and SPSS/CSV delivery bundles.
- All historical corporate financial, pricing, and customer datasets uploaded to Decision Studio.
- All custom prompt firewall rules and compliance policies configured in Sentinel Trust OS.
05Acceptable Use Policy & Restrictions
The Customer agrees not to, directly or indirectly:
- Reverse-engineer, decompile, disassemble, or derive source code from any compiled binary or service endpoint of the Platform.
- Sublicense, resell, rent, lease, or operate the Platform as a shared commercial bureau or white-labeled service without an explicit Agency Multi-Tenant Platform Agreement (
RRE-SUB-AGC). - Deploy malicious bot traffic, denial-of-service vectors, or automated scrapers designed to circumvent Resvanta AirLock™ threat detection.
- Utilize the Services to field questionnaires or process data that violate applicable laws, promote illicit acts, distribute non-consensual PII, or infringe third-party patents or copyrights.
06Commercial Terms, Billing & Payment
Annual or multi-year enterprise platform licenses billed in advance per the applicable Statement of Work (SOW).
Respondent completes delivered via RRE are invoiced based on agreed CPI rates and delivered complete volume (N).
Electronic invoicing with AirLock™ Verification attestations. Net 30 default terms via Stripe, ACH, or wire.
07Resvanta AirLock™ Anti-Fraud Guarantee (RRE)
Zero Billing for Gate-Blocked Fraud:
Under Resvanta Research Engine, any incoming respondent session identified by Resvanta AirLock™ as fraudulent, bot-driven, datacenter-proxied, or exceeding the study's threat score threshold is terminated at the gate (SEC_TERM) before Question 1.
Guaranteed Sample Integrity: The Customer is never billed for security-terminated respondents. The final payable complete count (N) reflects exclusively verified, unique human respondents passing AirLock™ threat gate evaluation.
08Service Level Agreement (SLA) & Support
• Uptime Commitment: Resvanta commits to maintaining a 99.9% Monthly Uptime for production API endpoints and active survey runners, excluding scheduled maintenance announced 48 hours in advance.
• Enterprise Support: Standard technical support operates Monday through Friday (9:00 AM – 8:00 PM EST) via [email protected]. Mission-critical Sev-1 incidents receive a guaranteed response within two (2) hours.
09. Confidentiality
Both parties agree to protect Confidential Information using the same degree of care used for their own sensitive assets (not less than reasonable care), and will not disclose it to any third party without binding confidentiality agreements.
10. Warranties & Disclaimers
Resvanta warrants that the Services will perform in material conformity with official documentation. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
11. Limitation of Liability
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. EACH PARTY'S TOTAL AGGREGATE LIABILITY SHALL BE LIMITED TO THE FEES ACTUALLY PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Term, Termination & Transition
Upon termination, Customer has thirty (30) days to export all survey datasets, analytical codebooks, and econometric outputs. Following 30 days, Resvanta securely purges customer tenant databases per retention schedules.
13. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware. Any legal action shall be instituted exclusively in state or federal courts located in the State of Delaware.
14. Paae.ai Independence & Cross-Entity Terms
CodeArchaeologist by Paae.ai operates under the Resvanta Group corporate umbrella on paae.ai and is governed by the specialized Paae.ai Developer Terms of Service.
